Terms of Service

The terms that govern all ForgeMend engagements and use of this website.

These Terms of Service ("Terms") govern your use of the ForgeMend website at forgemend.com and any services provided by ForgeMend LLC ("ForgeMend," "we," "us," or "our"). By using this website or engaging our services, you agree to these Terms.

1. Services

ForgeMend provides data conversion, cleanup, and migration services for Sage X3 ERP systems, including but not limited to:

  • Customer and supplier record conversion to Sage X3 import format
  • Product and item catalog conversion with UOM transformation
  • Export data analysis and data quality reports
  • Custom import pipeline development
  • Quarterly retainer engagements

The specific scope of each engagement is defined in a written Scope of Work or project confirmation email agreed upon by both parties before work begins.

2. Quotes, Pricing, and Scope

All engagements begin with a project intake form. ForgeMend will provide a written fixed-price quote within one (1) business day of receiving your submission. The quoted price covers the scope described in that quote only. Work outside the agreed scope may require a separate quote or change order.

Pricing shown on our website is provided as a range for general reference. Your actual price is confirmed in writing before any work begins.

3. Payment Terms

  • Deposit: 50% of the total project fee is due upon acceptance of the quote and before work begins.
  • Final payment: The remaining 50% is due upon delivery of the completed files.
  • Retainer billing: Retainer fees are invoiced monthly on the first of the month.
  • Late payments: Invoices unpaid after 30 days from the due date accrue interest at 1.5% per month.

ForgeMend reserves the right to withhold delivery of final files until the final payment is received.

4. Deliverables and Revisions

Upon completion, ForgeMend will deliver:

  • One or more validated, import-ready CSV files mapped to the agreed Sage X3 template
  • A PDF import guide documenting the mapping and any flagged data issues
  • An audit log summarizing rows processed, errors, and warnings

Each engagement includes one (1) free revision round within seven (7) days of delivery. A revision means corrections to the agreed scope — it does not include changes to the scope, new data sources, or additional modules. Additional revision rounds or scope changes are billed at our standard rate.

5. Client Responsibilities

To complete your project, you must provide:

  • Your Sage X3 import template(s) in the format required by your environment
  • Complete source data files in a format we can process (CSV, XLSX, or TXT)
  • Timely responses to clarifying questions (typically within 2 business days)

Delays caused by late client responses may extend the agreed delivery date. ForgeMend is not responsible for project delays caused by incomplete or inaccurate source data.

6. Intellectual Property

Upon receipt of final payment, you own the deliverables produced for your engagement — including all output CSV files, mapping configurations, and Python scripts created specifically for your project. ForgeMend retains ownership of its general methodologies, tools, templates, and reusable components.

Your source data remains your property at all times. ForgeMend does not claim any rights to your data.

7. Confidentiality

ForgeMend treats all client data, project details, and business information as confidential. We do not share, disclose, or use your information for any purpose other than delivering your project. Upon project completion, we will delete or return your source data upon request.

For larger engagements, clients may request a mutual Non-Disclosure Agreement before any data exchange. Contact us at info@forgemend.com.

8. Limitation of Liability

ForgeMend's liability for any claim arising from an engagement is limited to the fees paid by the client in the three (3) months preceding the claim. In no event shall ForgeMend be liable for indirect, incidental, special, or consequential damages — including lost data, lost revenue, or costs associated with a failed ERP import — even if advised of the possibility of such damages.

ForgeMend is responsible for delivering correctly mapped and validated files per the agreed scope. Clients are responsible for reviewing deliverables, testing imports in a non-production environment, and making the final decision to import data into their live system.

9. Termination

Either party may terminate an engagement with 30 days' written notice. If ForgeMend terminates, we will refund a pro-rated portion of any unused deposit. If the client terminates, ForgeMend will invoice for work completed to date and return any unused deposit balance.

10. Disclaimer of Warranties

This website and all information provided herein are offered "as is" without warranty of any kind. ForgeMend does not warrant that the website will be error-free or uninterrupted. Nothing on this website constitutes legal, tax, or financial advice.

11. Governing Law and Disputes

These Terms are governed by the laws of the State of New Mexico, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or an engagement shall first be submitted to good-faith negotiation between the parties. If negotiation is unsuccessful, disputes shall be submitted to mediation. If mediation is unsuccessful, disputes shall be resolved in the courts of Bernalillo County, New Mexico.

12. Changes to These Terms

ForgeMend may update these Terms from time to time. We will update the "Last updated" date at the top of this page. Your continued use of this website after any changes constitutes acceptance of the updated Terms. Changes do not apply retroactively to active engagements.
